Terms and Agreements

The organization listed below will participate in certain events that are part of Adopt-a-thon activities sponsored by the East Bay SPCA (“SPCA”) to be held on July 28, 2019, at Jack London Square in Oakland, California (the “Events”). The SPCA agrees to include the below-named organization as an additional named insured on its insurance coverage related to the Events, and in return, the organization agrees as follows:

In consideration for being permitted to participate in the Events, on behalf of the below-named organization and any of its members, agents, or employees, I hereby RELEASE the SPCA, its directors, employees, and agents from any liability to the foregoing parties that may arise from the Events. I also indemnify, defend (with counsel satisfactory to SPCA) and hold harmless SPCA from and against any and all losses, damage, expenses, claims, liability or causes of action of any kind ("Claims"), except for Claims resulting from the sole gross negligence or sole willful misconduct of SPCA.I also further INDEMNIFY, DEFEND and HOLD HARMLESS the SPCA from any and all loss, claim, liability, of any kind or nature arising from the participation in the Events of the below-named organization, its members, agents or employees.

I agree to the following:

• Participants must be set up for the entirety of the event (10:00 AM – 2:00 PM)

• Each individual organization must apply and receive confirmation separately. No shared booth space is permitted.

• Promote the event online, in my community and through my organization’s network using branded Adopt-a-thon 2019 collateral. I agree not to use the Jack London Square logos or trademarks in promoting the event.

• All animals available for adoption must be up to date on vaccinations, spayed/neutered, and have been appropriately quarantined so that they are free of communicable diseases. Proof of vaccines and altered status must be readily available.

• Each organization must provide adequate pet supplies, bedding, canopies and water to keep animals safe, hydrated and protected from excessive sun or other weather elements.

• All animals must be appropriately restrained and under the control of at least one responsible person at all times. For safety reasons, one person per leashed dog, especially large breeds, is required.

• No animals will be tethered at this event.

• By taking part in this event I authorize the East Bay SPCA to use any images or video resulting from the photography/video filming for fundraising, publicity or other purposes. This might include (but is not limited to online publications and communications such as newsletters, brochures, videos, website, social media, direct mail appeals, and fundraising materials.
